Buying a Trade Licence vs a Running Business in the UAE: Which One Do You Need?
A licence gets you a legal shell. A running business gets you customers, staff and cash flow, plus their problems. Here is how to choose, with examples from listings currently on the market.

Short verdict: buy a trade licence if you already have customers or a business plan and just need a legal entity, ideally one with a useful activity list, bank account or age. Buy a running business if you want revenue from day one and are prepared to verify, take over and manage what already exists.
The two often sit side by side on the same marketplace, which is why people confuse them. They are different purchases.
What you actually get
Trade licence only: a legal entity and licensed activities, usually with no customers, revenue, staff or premises. The asking price is lower, and the main risk is the company's hidden history.
Running business: the entity and activities, plus customers and revenue as disclosed, and often staff and premises. The price is higher and tied to performance. The main risks are overstated performance, the lease and staff issues.
When a licence makes sense
A licence is a shortcut, not a business. You are paying to skip some of the set-up steps and, sometimes, for something that is hard to get quickly.
Look at what the licence-only listings in our current book advertise. One is a Dubai general trading licence with an establishment year of 1970. Another is an IFZA free-zone company with software and trading activities, an active Wio account and two partner visas. A third is an Ajman general trading company whose seller reports accounts with three banks and a clean transaction history.
Notice what those are selling: age, activities, banking relationships and visas. If none of those matter to you, a newly issued licence from the relevant authority may cost less than buying someone else's.
There is one more thing to understand. When you buy a company's shares, you buy its past. A licence that looks clean on paper can still carry an unpaid fine, an old cheque or a dispute. Ask for a liability statement and have your lawyer check the company before you pay. Our listings label these opportunities "licence only, not a verified operating business" for exactly this reason.
When a running business makes sense
You buy a running business for the cash flow and the customers. That's the whole point.
The current book has examples at very different scales: a facility-management group advertised with more than 100 active contracts, a four-branch cafe group in Abu Dhabi, a Dubai Marina restaurant with delivery-platform sales and catering. Each comes with staff, premises and suppliers, and each needs to be checked properly before you commit.
The extra work is the due diligence. Revenue needs to match bank statements. The lease needs enough years left. Staff need visas you can transfer. We cover the full checklist in our guide on how to buy a business in Dubai.
The middle ground: assets and partial stakes
Some listings are neither. An asset sale gets you equipment, fit-out or stock without the company itself. Our book includes a hotel hospitality venue in JBR advertised at around 85% fit-out completion, sold as a business asset. A partial acquisition gets you a share of a company, sometimes with an operating role, like the metal-fabrication listing that is looking for an investor who will also manage operations.
These suit buyers who want a specific advantage (a location, equipment or a partner already in place) without buying a whole company outright.
How to decide in five minutes
Ask yourself one question: do I already have the customers?
If yes, you probably need a licence and a bank account, and a licence listing may save you time. If no, you are buying customers, and a running business with verifiable revenue is the safer route even though it costs more.
Then filter accordingly. On the businesses for sale page, set the deal type to "Licence only", "Running business", "Investment / partial stake" or "Asset sale" to see each group on its own. If you are still unsure, ask our team. It's a five-minute conversation and it can save you a wrong purchase.
